Acknowledgment

These are the Terms and Conditions governing the use of this Service and the agreement that operates between You and the Company. These Terms and Conditions set out the rights and obligations of all users regarding the use of the Service.

Your access to and use of the Service is conditioned on Your acceptance of and compliance with these Terms and Conditions. These Terms and Conditions apply to all visitors, users and others who access or use the Service.

By accessing or using the Service You agree to be bound by these Terms and Conditions. If You disagree with any part of these Terms and Conditions then You may not access the Service.

By accessing or using the Service, You confirm that the individual accepting these Terms is at least 18 years old and has the authority to accept them on behalf of the company.

Your access to and use of the Service is also subject to the Company's Privacy Policy. The Privacy Policy explains how the Company collects, uses, stores, and shares personal information when You use the Service, including the web application and Website, and explains Your data-protection rights.

By accessing or using the Service, You acknowledge that You have read the Privacy Policy.

User Accounts

Where the Company provides access to the web application, You must ensure that the information provided when creating an account is accurate, complete, and kept up to date.

You are responsible for keeping Your account credentials confidential and for all activity carried out through Your account. You must not share Your password or allow anyone else to use Your account.

You must notify Us promptly if You become aware of any unauthorised access to, or use of, Your account. We may suspend or terminate access to an account where We reasonably believe these Terms have been breached or the security of the Service is at risk.

You must not use a username that impersonates another person or business, infringes another party's rights, or is offensive or unlawful.

Customer Content

Your Right to Post Content

The Service may allow You to upload or submit content, including shipment photographs, documents, and other business information ("Customer Content").

You retain ownership of Your Customer Content. You grant the Company a non-exclusive, royalty-free licence to host, store, reproduce, process, transmit, back up, and display Customer Content solely as necessary to provide, maintain, secure, and support the Service.

The Company will not make Customer Content available to other customers or users of the Service, unless You authorise this in writing or disclosure is required by law. The Company may use trusted service providers to process Customer Content on its behalf where necessary to provide the Service, subject to appropriate confidentiality and data-protection obligations.

You confirm that You have all necessary rights, permissions, and lawful authority to upload Customer Content to the Service.

Content Restrictions

You are responsible for Customer Content uploaded through Your account and for ensuring that Your authorised users comply with these Terms.

You must not upload, submit, or transmit Customer Content that:

  • is unlawful or infringes another person's intellectual-property, privacy, or other legal rights;
  • contains viruses, malware, or other harmful code;
  • is intended to gain unauthorised access to systems, data, or accounts; or
  • You do not have the right or authority to upload and use through the Service.

The Company may remove or restrict access to Customer Content, or suspend access to the Service, where We reasonably believe it breaches these Terms, creates a security risk, or is required by law.

Content Backups

The Customer is responsible for maintaining its own complete and accurate copies of Customer Content outside the Service.

The Company may create backups of Customer Content for operational, security, and recovery purposes. However, the Company does not guarantee that backups will be available, complete, current, or capable of restoring all Customer Content.

The Company will use reasonable efforts to investigate known backup or restoration issues. Nothing in this section excludes liability that cannot lawfully be excluded or limited.

Intellectual Property

The Service, including the web application, programme materials, software, features, functionality, branding, and all other content created or made available by the Company, is owned by the Company or its licensors.

Nothing in these Terms transfers ownership of the Company's intellectual-property rights to You. You may use the Service and programme materials only as permitted by these Terms and for Your internal business purposes during the Pilot Programme.

The Company's name, logos, trademarks, and branding may not be used without the Company's prior written consent.

Customer Content remains owned by the Customer, subject to the limited licence granted to the Company under the Customer Content section.

Your Feedback to Us

If You provide feedback, suggestions, ideas, or recommendations regarding the Service ("Feedback"), You assign to the Company all right, title, and interest in that Feedback. If that assignment is ineffective for any reason, You grant the Company a non-exclusive, perpetual, irrevocable, worldwide, royalty-free, transferable, and sublicensable licence to use, reproduce, disclose, distribute, modify, and otherwise exploit the Feedback without restriction or payment to You.

For clarity, Feedback does not include Customer Content. Any Customer Content included with Feedback remains subject to the Customer Content section of these Terms.

Links to Other Websites

The Service may contain links to third-party websites or services. These are not owned or controlled by the Company.

The Company has no control over, and is not responsible for, the content, availability, privacy practices, terms, goods, or services of any third-party website or service.

To the maximum extent permitted by law, the Company will not be liable for any loss or damage arising from Your use of, or reliance on, any third-party website, service, content, goods, or services. Your use of a third-party website or service is subject to its own terms and privacy policy.

Fees and Payment

The Fee must be paid in full before the Onboarding Date.

The Company is not required to begin onboarding, activate Your account, or provide access to the Service until the Fee has been received in full.

The Fee is payable in pounds sterling and is inclusive/exclusive of VAT and any other applicable taxes.

Termination and Suspension

These Terms will remain in effect throughout the Service Period unless ended earlier in accordance with this section.

Your access to the Service will end automatically when the Service Period expires unless the parties agree in writing to continue the Service under new or updated terms.

The Company may immediately suspend or restrict Your access to the Service where the Company reasonably believes that:

  • You have materially breached these Terms;
  • Your account is being used unlawfully, fraudulently, or without authorisation;
  • Your use of the Service creates a security, operational, or legal risk; or
  • suspension is required by law or by a competent authority.

Where the circumstances reasonably permit, the Company will notify You of the suspension, explain the reason for it, and provide You with a reasonable opportunity to remedy the issue.

The Company may terminate these Terms immediately where You commit a material breach that cannot be remedied. Where a material breach can be remedied, the Company may terminate these Terms if You fail to remedy the breach within 14 days after receiving written notice.

The Company may terminate these Terms for reasons unrelated to Your breach by giving You reasonable written notice. In that case, the Company will refund the proportion of the Fee relating to the remaining part of the Service Period during which the Service will not be provided.

You may cancel the Service by giving the Company written notice before the Onboarding Date, in which case the Fee will be refunded in full.

After the Onboarding Date, You may terminate these Terms by giving the Company written notice. However, the Fee will not be refunded except where required by law or expressly provided under these Terms. Merely discontinuing use of the Service does not terminate these Terms.

You may terminate these Terms if the Company commits a material breach and fails to remedy that breach within 14 days after receiving written notice. In that case, the Company will refund the proportion of the Fee relating to the remaining part of the Service Period during which the Service will not be provided.

Upon the expiry or termination of these Terms:

  • Your right to access and use the Service will end;
  • each party's rights and liabilities accrued before expiry or termination will remain unaffected;
  • the Company may disable Your account; and
  • Customer Content will be returned or deleted in accordance with the Customer Content provisions, Privacy Policy, and any applicable data-processing terms.

Any provisions which by their nature are intended to continue after expiry or termination will remain in effect, including provisions relating to intellectual property, confidentiality, payment obligations, limitations of liability, data protection, dispute resolution, and governing law.

Limitation of Liability

Nothing in these Terms excludes or limits either party's liability for:

  • death or personal injury caused by its negligence;
  • fraud or fraudulent misrepresentation; or
  • any other liability that cannot lawfully be excluded or limited.

Subject to the exclusions above, the Company's total aggregate liability arising out of or in connection with the Service or these Terms, whether arising in contract, tort (including negligence), breach of statutory duty, misrepresentation, or otherwise, will not exceed the Fee paid by You for the Service.

Subject to the exclusions above, the Company will not be liable for any:

  • indirect or consequential loss;
  • loss of profits, revenue, anticipated savings, business, contracts, opportunities, or goodwill;
  • business interruption; or
  • loss or corruption of Customer Content where You have failed to maintain an independent copy as required by these Terms.

The Company will not be liable for any loss resulting from:

  • Customer Content that was inaccurate, incomplete, corrupted, or unlawfully uploaded;
  • Your failure to follow instructions or maintain the security of Your account;
  • unauthorised use of the Service resulting from Your failure to safeguard account credentials;
  • third-party websites, platforms, software, or services that are outside the Company's reasonable control; or
  • events outside the Company's reasonable control.

Nothing in this section limits any refund expressly payable under these Terms.

Each party acknowledges that the limitations and exclusions in this section reflect the nature and price of the Service and the allocation of risk agreed between the parties.

Service Availability and Disclaimer

The Service is being provided as a pilot service. The Company will provide the Service with reasonable care and skill but does not guarantee that the Service will be uninterrupted, continuously available, completely secure, or free from errors or defects.

The Company will use reasonable efforts to maintain the availability and security of the Service and to investigate material faults reported by You. However, access may occasionally be restricted or interrupted because of maintenance, updates, technical faults, security concerns, third-party service failures, or circumstances outside the Company's reasonable control.

The Company does not guarantee that:

  • the Service will meet every requirement of Your business;
  • use of the Service will achieve any particular operational, financial, or commercial result;
  • the Service will be compatible with every device, browser, system, application, or third-party service;
  • all information, reports, recommendations, or outputs generated through the Service will always be complete, accurate, or current;
  • every error or defect will be corrected; or
  • the Service will be entirely free from viruses, malware, or other harmful components, although the Company will take reasonable measures to protect the Service.

You are responsible for deciding whether the Service is suitable for Your business and for reviewing information or outputs before relying on them or using them to make business decisions.

The Company may update, modify, or improve the Service during the Service Period, provided that any change does not materially reduce the core Service being provided to You.

Except as expressly stated in these Terms, and to the extent permitted by law, all warranties, representations, conditions, and other terms that might otherwise be implied by statute, common law, or otherwise are excluded.

This section does not exclude or limit any responsibility or liability that cannot lawfully be excluded or limited and is subject to the Limitation of Liability section of these Terms.

Governing Law and Jurisdiction

These Terms, and any dispute or claim arising out of or in connection with them, their subject matter, or their formation, including any non-contractual dispute or claim, will be governed by and interpreted in accordance with the laws of England and Wales.

You and the Company irrevocably agree that the courts of England and Wales will have exclusive jurisdiction to settle any such dispute or claim.

Dispute Resolution

If a concern or dispute arises out of or in connection with the Service or these Terms, the party raising the dispute must first notify the other party in writing.

The notice must provide reasonable details of the dispute, including the relevant circumstances and the outcome being requested. Notices to the Company must be sent to info@sakrabyte.com.

The parties will use reasonable efforts and act in good faith to resolve the dispute through informal discussions within 14 days after the notice is received.

If the dispute has not been resolved within that period, the parties may agree to attempt mediation before commencing court proceedings. Unless otherwise agreed in writing, each party will bear its own costs of the mediation and share the mediator's fees equally.

Nothing in this section prevents either party from:

  • seeking urgent interim or protective relief from a court;
  • taking action to protect its intellectual-property, confidential-information, or data-protection rights; or
  • commencing proceedings where necessary to prevent a legal limitation period from expiring.

Any dispute that cannot be resolved informally or through an agreed mediation will be subject to the Governing Law and Jurisdiction section of these Terms.

International Use

The Service may be made available to companies established outside the United Kingdom.

Each party is responsible for complying with the laws and regulations that apply to it in connection with these Terms and the provision or use of the Service.

You are responsible for ensuring that Your access to and use of the Service, including the uploading of Customer Content, is lawful in each jurisdiction from which You use the Service.

The Company does not represent that the Service is suitable or legally available for use in every jurisdiction. The Company may refuse, restrict, or suspend access where reasonably necessary to comply with applicable laws, sanctions, trade restrictions, or directions from a competent authority.

The availability of the Service outside the United Kingdom does not alter the Governing Law and Jurisdiction section of these Terms.

Severability and Waiver

Severability

If any provision or part of a provision of these Terms is found by a court or other competent authority to be invalid, unlawful, or unenforceable, that provision will be treated as modified to the minimum extent necessary to make it valid, lawful, and enforceable.

If the provision cannot be made valid, lawful, and enforceable through modification, the affected provision or part will be treated as deleted.

Any modification or deletion under this section will not affect the validity or enforceability of the remaining provisions of these Terms.

Waiver

A failure or delay by either party to exercise any right or remedy under these Terms or by law will not constitute a waiver of that or any other right or remedy.

A single or partial exercise of a right or remedy will not prevent or restrict any further exercise of that or any other right or remedy.

A waiver will be effective only if it is made in writing by the party granting it. Any waiver will apply only to the particular circumstances for which it is given and will not constitute a waiver of any subsequent breach.

Changes to These Terms and Conditions

The Company may update these Terms where reasonably necessary to:

  • comply with a change in applicable law, regulation, or regulatory guidance;
  • address a security, technical, or operational issue;
  • clarify the existing wording;
  • reflect changes that do not materially reduce the Service or Your rights; or
  • introduce new features, functionality, or services that do not adversely affect the Service provided to You.

For the purposes of this section, a "material change" means a change that is reasonably likely to have a significant adverse effect on the nature, scope, availability, or core functionality of the Service, or on Your rights, obligations, liability, payment obligations, data-protection rights, or ability to terminate these Terms.

The Company will notify You of any change by sending an email to the most recent email address provided by You and associated with Your account. The notice will describe the change and state the date on which it will take effect. A notice sent by email will be treated as received at the time it is sent.

You are responsible for ensuring that the email address associated with Your account is accurate, monitored, and kept up to date.

The Company will provide at least 30 days' notice of a material change unless the change must take effect sooner because of law, regulation, security, or circumstances outside the Company's reasonable control.

The Company will act reasonably when determining whether a change is material and will explain that determination in the notice. If You disagree with the determination, You may raise the matter under the Dispute Resolution section.

During the Service Period, the Company will not, without Your written agreement:

  • increase the Fee;
  • shorten the Service Period;
  • materially reduce the core Service; or
  • materially reduce Your contractual rights.

Where a change required by law or circumstances outside the Company's reasonable control materially and adversely affects Your use of the Service, You may terminate these Terms by notifying the Company before the change takes effect. The Company will refund the proportion of the Fee relating to the remaining part of the Service Period during which the Service will not be provided.

Any material change that is not covered by this section will apply to You only if agreed in writing by both parties. Changes will not apply retrospectively and will not affect any rights or liabilities that arose before the change took effect.

Contact Us and Notices

If You have any questions about these Terms or the Service, You may contact the Company by email at info@sakrabyte.com.

Any notice You are required to give under these Terms, including a cancellation, termination, dispute, or other legal notice, must be sent to info@sakrabyte.com.

The Company will send notices to the most recent email address provided by You and associated with Your account. A notice sent by email will be treated as received at the time it is sent.

Each party is responsible for ensuring that its relevant email address is accurate, monitored, and kept up to date.
